General Terms
1. Agreement
By accessing flowcenter.digital and engaging FlowCenter Digital (“we”, “us”) for advisory or execution services, you agree to these General Terms. If you disagree, do not submit inquiries or purchase scoped work.
2. Services description
We provide trade marketing execution support related to point-of-sale materials, rollout coordination, field documentation standards, and related workshops. Deliverables are defined in written statements of work (SOW) or order confirmations.
3. Client responsibilities
You provide accurate store lists, brand standards, approved artwork, distributor contacts, and timely decisions. Delays in approvals may shift timelines and costs. You warrant you have rights to share materials with us.
4. Intellectual property
You retain ownership of your trademarks and brand assets. We retain ownership of our methodologies, templates, and anonymized benchmarks unless otherwise assigned in writing. Deliverables created specifically for you are licensed for your internal operational use unless a separate assignment is signed.
5. Liability limits
To the fullest extent permitted under Thai law, our aggregate liability arising from any engagement is limited to the fees paid for the specific SOW giving rise to the claim during the six (6) months preceding the event. We are not liable for indirect, consequential, or lost profits.
6. Governing law and disputes
These terms are governed by the laws of Thailand. Parties seek good-faith negotiation first. If unresolved, disputes shall be submitted to the competent courts of Bangkok, Thailand, unless mandatory consumer protections require otherwise.
7. Termination
Either party may terminate for material breach not cured within fifteen (15) days of written notice. Sections on confidentiality, liability limits, and governing law survive termination.
8. Modifications
We may update these terms periodically. Material changes will be reflected with a new “Last updated” date. Continued use of the website after changes constitutes acceptance; existing SOWs remain governed by their signed terms until refreshed.
